Main responsibilities:
- Company Law database (database gathering key information on Opella affiliates – 64 legal entities in 43 countries): contribute to the roll-out of our new company law database (i) review data, test issuance/reliability of standard reports and legal organization charts, liaise with internal lawyers and our service provider to ensure reliability of information and reporting, and (ii) contribute to training on the database.
- Delegations of signature and powers : for French legal entities (i) review and redraft standard powers and delegation templates, in the context of the revisit of opella delegation policy (ii) audit our delegation sharepoint used for the production and storage of delegations and (iii) contribute to the revisit of the process for issuance and internal “publication” of delegations.
- Legal support for any corporate matters (French and foreign affiliates): support the Legal corporate teams in any company law operation: review, draft and get signed corporate documentation (powers of attorney, minutes in relation to approval of accounts, payment of dividends, and generally any documentation in relation to creation/dissolution of legal entity, contribution of business, mergers, demergers… etc).
