We are seeking an experienced, highly organized, and business-savvy Senior Corporate Paralegal to support and strengthen our global legal operations. In this senior role, you will serve as the backbone of corporate governance and legal entity management across a growing international structure. You will play a central role in supporting board processes, group reorganizations, compliance with international legal requirements, and cross-functional initiatives involving Legal, Finance, and People teams. The successful candidate must be fluent in English and French.
The impact you will make:
- Global Entity Management
- Independently manage all aspects of corporate maintenance for domestic and international subsidiaries, including formation, annual filings, and dissolution processes.
- Liaise with external counsel and internal stakeholders to ensure compliance with local corporate requirements across multiple jurisdictions (e.g. France, US, Australia, UK, Singapore, Malaysia).
- Board and Shareholder Governance
- Assist with the preparation, review and maintenance of board and shareholder meeting materials, resolutions, minutes, and powers of attorney.
- Support internal approvals and execution processes for corporate actions (e.g., financings, reorganizations, intercompany agreements).
- Group Structuring and M&A Support
- Assist with corporate restructurings, intra-group funding flows, and due diligence preparation for M&A transactions.
- Coordinate documentation and track post-closing obligations across entities and functions.
- Legal Operations and Process Improvement
- Own and optimize legal processes such as signature workflows, document lifecycle management, and legal entity tracking using tools like Diligent, DocuSign, or EntityKeeper.
- Manage internal legal templates and ensure consistent implementation across departments.
- Cross-Functional Collaboration
- Partner closely with Finance on intercompany agreements, statutory audits, annual filings and cap table reconciliation.
- Support the People team with employment-related corporate formalities (e.g., stock option grants, officer appointments).
- Compliance and Risk Monitoring
- Maintain up-to-date knowledge of legal developments impacting corporate compliance.
- Support the legal team’s efforts to implement policies and ensure adherence to corporate governance best practices.
Skills you bring:
- 15+ years of relevant experience in a corporate paralegal role within a global organization or top-tier law firm.
- Demonstrated mastery of international corporate governance, subsidiary management, and legal documentation.
- Ability to operate autonomously, manage complex projects, and prioritize under tight deadlines.
- Strong attention to detail, excellent drafting skills, and high professional integrity.
- Experience coordinating with stakeholders across time zones and cultures.
- Proficiency with legal tech platforms and comfortable implementing operational processes.
- Paralegal certification or legal studies strongly preferred.
